METHODS OF FINANCING: 

SEIS (Seed Enterprise Investment Scheme)

The investment must be held in the SEIS company for aminimum period of THREE YEARS. If withdrawn before this time then all tax benefits will be lost. An SEIS company is generally for the development process of a movie. The risk is slightly higher but it recoups from the production financing.

Tax Benefits available to the Investor (current year 2014)

The following is an overview of the various reliefs for SEIS but can vary from year to year and to each individual's personal circumstances. Please check the latest tax position with a tax specialist. Please find the PDF issued by the HMRC here for Income Tax and CGT.

Income Tax Relief to 50% of Investment
Claim back your tax paid from the current year or from the previous year. Maximum Investment £100,000 (One Hundred Thousand Pounds) and no more than 30% share ownership.

Capital Gains Tax Relief at 14% of Investment (No Cap)
Claim back your tax paid from CGT or offset your current position without clawback. There are two kinds of relief. Reinvestment Relief and Disposal Relief.

Inheritance Tax Relief
IHT can be claimed by the estate

Loss Relief
This can be claimed should a loss arise thus limiting the downside of any investment.

The company plans to return to the Investor 8.59% per annum on the Gross Investment made.If Income Tax is fully claimed then this equates to a return of 36.81% pa and should CGT also be claimed then the return is estimated at 52.65% pa.

EIS (Enterprise Investment Scheme)

The investment must be held in the SEIS company for a minimum period of THREE YEARS. If withdrawn before this time then all tax benefits will be lost. EIS Finance is used for the production of the movie. These monies are mixed with other types of financing under each movie's finance plan.

Tax Benefits available to the Investor (current year 2014)

The following is an overview of the various reliefs for EIS but can vary from year to year and to each individual's personal circumstances. Please check the latest tax position with a tax specialist. Please find the PDF issued by the HMRC here for Income Tax and here for CGT.

Income Tax Relief to 30% of Investment

Claim back your tax paid from the current year or from the previous year. Maximum Investment £1,000,000 (One Million Pounds) and no more than 30% share ownership.

Capital Gains Tax Relief at 28% of Investment (No Cap)

Claim back your tax paid from CGT or offset your current position as deferral of the tax imposition. Tax will be payable on the full gain on disposal after three years

Inheritance Tax Relief

IHT can be claimed by the estate after three years

Loss Relief

This can be claimed should a loss arise thus limiting the downside of any investment. Such loss relief would be claimed after disposal of the shares.

The investment takes the form of shares invested into the vehicle which shall be making the movie(s).

The company plans to return to the Investor 8.59% per annum on the Gross Investment made.If Income Tax is fully claimed then this equates to a return of 22.30% pa and should CGT also be claimed then the return is estimated at 29.96% pa.

The minimum investment for our movies with EIS is £5,000 and SEIS is £500.

We also have other products for financing being developed. One such product is

FILM TRADE FINANCE INVESTMENT

FILM TRADE FINANCE INVESTMENT is not coupled with a tax benefit driven investment. This type of investment means that the investee can transfer its investment on our trade platform after ONE YEAR.

The INVESTOR does not have to be UK domiciled and does not need to keep the investment in the movie for the life of the movie.

Every month each movie will be valued as a percentage of cost. A dividend payment will be declared as payable at 15 months, 27 months, 39 months and 51 months and payable 1 moth thereafter. The dividend will be based upon activity up to three months prior to the dividend being declared.

We estimate that the base valuation on a TYPICAL Movie will be:

YEAR 1 103%
YEAR 2 110%
YEAR 3 125%

The minimum investment will be £10,000 per share. No upper limit on number of shares held.

Dividends will be calculated in addition to these valuations.

IF YOU ARE NOT AN EXPERIENCED INVESTOR then you will be asked to register via one of our IFAs who are regulated by the FCA (Financial Conduct Authority).

IF YOU ARE AN EXPERIENCED INVESTOR then we shall ask you to sign a waiver form so that we can conduct business outside of the FCA regulations.

We would always advise that you take professional advice prior to making any investment as valuations are estimates and cannot be taken as the actual amount that can be return. Whilst we will seek to minimise risk we cannot guarantee the success of a movie as it depends on many factors including the state of the market upon its release.
